Terms of Service

1. Acceptance of terms
By downloading, installing, or using OpenGem, you agree to these Terms of Service. If you do not agree, do not use OpenGem. We may update these terms from time to time — continued use after changes constitutes acceptance.
2. What OpenGem is
OpenGem is a desktop application that provides AI-powered agents to help you manage email, calendar, documents, and web browsing tasks. Agents act on your behalf using your connected accounts and services. OpenGem is a tool — you are responsible for reviewing and approving the actions agents take.
3. Account and access
During early access, OpenGem is free to use. When paid plans are introduced, we will notify you in advance. You will never be charged without explicit consent.
You are responsible for maintaining the security of your device and any accounts you connect to OpenGem. Do not share your API keys or OAuth tokens with others.
4. Connected services
OpenGem connects to third-party services (Google Workspace, Shopify, Slack, Notion, etc.) using your credentials. When you authorize these connections:
- You grant OpenGem agents permission to read and write data in those services on your behalf.
- You remain responsible for the actions agents take in your connected accounts.
- You can revoke access to any service at any time through that service's settings.
- OpenGem is not liable for unintended actions taken by AI agents in your accounts.
5. AI limitations
OpenGem uses AI models (Claude by Anthropic, GPT by OpenAI) to power its agents. AI can make mistakes. Agents may:
- Misinterpret your instructions
- Take actions you didn't intend
- Produce inaccurate summaries or analysis
- Fail to complete tasks due to API limitations or service changes
You should review agent actions and outputs before relying on them for important decisions. OpenGem is not a substitute for professional advice (legal, financial, medical, etc.).
6. API costs
OpenGem uses your own API keys for Anthropic and OpenAI. You are responsible for any charges incurred on your API accounts. OpenGem is designed to minimize API costs, but complex tasks may consume more tokens than expected. Monitor your API usage through your provider's dashboard.
7. Acceptable use
You agree not to use OpenGem to:
- Violate any laws or regulations
- Send spam, phishing, or abusive content through connected services
- Attempt to bypass rate limits or abuse third-party APIs
- Reverse-engineer, decompile, or extract the source code of OpenGem
- Use agents to harass, impersonate, or harm others
- Automate actions that violate the terms of connected services
8. Intellectual property
OpenGem and its original content, features, and functionality are owned by OpenGem and are protected by copyright and other intellectual property laws. Your data remains yours — we claim no ownership over content you create, send, or store using OpenGem.
9. Disclaimer of warranties
OpenGem is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that agents will always perform correctly, that the service will be uninterrupted, or that results will be accurate. Use OpenGem at your own risk.
10. Limitation of liability
To the maximum extent permitted by law, OpenGem and its creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the application. This includes but is not limited to: data loss, unintended emails sent by agents, incorrect calendar events, or any actions taken by AI agents in your connected accounts.
11. Termination
You may stop using OpenGem at any time by uninstalling the application. We reserve the right to suspend or terminate access to OpenGem for users who violate these terms. Upon termination, your locally stored data remains on your device unless you choose to delete it.
